Terms of Service

Your rights and responsibilities when using Payonify.

Introduction

Please read the following terms and conditions carefully before registering, browsing, downloading or using the site. By using the site or by using our services, you agree to be bound by these terms and conditions set forth below including any additional guidelines and future modifications that we implement from time to time. If at any time you do not agree to these terms and conditions or do not wish to be bound by these terms and conditions, you may refrain from using the site and immediately terminate your use of the services.

The Terms and Conditions (as may be amended from time to time) are a legal contract and an agreement between you, a sole trader, or company representative(s) of at least 18 years of age ("You"), and Payonify("us", "we", "www.payonify.co.zw"), regarding Your use of our payment gateway service (known as "Service") to receive payments for good and services through our website www.payonify.co.zw (known as the "Site"). www.payonify.co.zw reserves the right, at its sole discretion, to revise, add, or delete portions of these terms any time without further notice therefore it shall be your responsibility to visit these terms from time to time in order to stay up to date with any changes that the "Site" may introduce. The services hereunder are offered by Payonify (Private) Limited.

Services Provided

We facilitate payment integrations for you to receive payments for goods and services based on the following terms:

2.1 We act as a technical facilitator only.

2.2 We do not hold, manage, or deposit funds on your behalf.

2.3 All financial settlements occur between the customer's payment provider and your financial institution (bank).

Account Registration & Security

3.1 Online Onboarding: You must provide accurate, current, and complete information during the online registration process.

3.2 KYC Compliance: You agree to provide any "Know Your Customer" (KYC) documentation required by us upon onboarding.

3.3 Credentials: You are responsible for maintaining the confidentiality of your API keys and login credentials. Any action performed under your account is deemed your own and Payonify will not be held responsible for any unauthorised access due to disclosed credentials. It is important to note that Payonify has implemented reasonable physical and technical measures to protect your information.

Your Obligations

By registering on our site and to maintain the service, you agree to the following:

4.1 Compliance: Adhere to the specific terms and conditions of the payment service providers and your bank.

4.2 Lawful Use: Not use the service for illegal activities, including money laundering or the sale of prohibited goods.

4.3 Data Privacy: Maintain the privacy of customers who purchase your goods and service and payments are made through our platform.

5. Fees and Payments

By registering for our services, you agree to the following fees terms:

5.1 Upon payment, our fees will be deducted on the customer side

5.2 For Mobile Money transactions, the collected fees are refundable when the transaction is reversed

5.3 The following fees apply per transaction:

(a) Mobile Money (EcoCash & OneMoney): 1.75% of the transaction amount

(b) Visa/Mastercard: 2.9% + 59c per transaction

6. Service Availability & Downtime

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We are not liable for:

6.1 Downtime caused by the customer payment provider or your bank.

6.2 General internet outages or technical failures.

6.3 Service interruptions due to system maintenance. We will however communicate of any planned system maintenance exercises within 24 hours

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or failed transactions resulting from technical errors or third-party platform failures.

8. Termination

8.1 By You: You may close your account at any time via the dashboard, provided all outstanding fees for payments made are settled. We will however retain your information and transactions in line with KYC and transactions record keeping regulatory requirements

8.2 By Us: We reserve the right to suspend or terminate access immediately if we suspect fraudulent activity, breach of terms, or at the request of a payment platform partner or regulatory body such as Reserve Bank of Zimbabwe and Financial Intelligence Unit or upon receipt of court order to do the same.

9. Governing Law

These terms are governed by the laws of Zimbabwe. Any disputes shall be resolved through binding arbitration.
